We may update or change or amend these terms at any time with or without notice. It is upon you to keep checking this page from time to time to make sure that you comply with each and every term mentioned.

Access to MillionFormula is permitted on a temporary basis. MillionFormula reserves the right to change, organize or withdraw the services we provide at any time without prior notice.

We update the MillionFormula website regularly and content might change at any time. However, any of the content on MillionFormula might be out of date at any time. MillionFormula is under no obligation to update such content. We will update such content at our sole discretion.

MillionFormula will not be liable if for any reason our website is inaccessible or unavailable at any time or for any period of time.

MillionFormula might restrict access to any part of the website for reasons like updates, upgrades or maintenance. We will not be held liable for such restrictions or inaccessibility.

MillionFormula reserves the right to refuse to offer our services to any individual or entity and we are not obligated to provide the reason for that.

The user is responsible for making all the arrangements necessary to access our website and is responsible to make sure anyone else accessing our website through his/her internet connection is aware of our terms.

Without limiting its ability to seek alternative remedies, MillionFormula may restrict any user’s ability to use the website, deactivate or terminate his/her account, forfeit or withhold funds, at our absolute discretion, if we have reason to believe or suspicion that the user’s dealings with MillionFormula constitute fraudulent activity, wrongdoings or related to money laundering. Users acknowledge that if their use of the website is in breach of any local or national laws with respect to fraud or money laundering, any payments made may be liable to forfeiture or may be frozen by MillionFormula. To the extent permitted by law, MillionFormula shall not be liable to that user for any such payments, nor shall MillionFormula incur any liability to any user where we are required to give information or documentation relating to that user to any relevant regulatory authority in such cases.

MillionFormula reserves the right to withhold any payments payable to any user, group of users or legal entity if the aforementioned is involved in an ongoing fraud or money laundering investigation.

To the extent allowed by the law, MillionFormula shall be entitled to withhold and/or forfeit the money held in the user's account in the event that the user is involved in fraud or money laundering activities. The user agrees to indemnify MillionFormula, our directors, employees, consultants and advisors from all losses and damages as a result of fraud and/or money laundering that the user is involved in. MillionFormula reserves the right to withhold and/or forfeit money from all users involved in fraud/money laundering or MillionFormula suspects of being involved in fraud and/or money laundering or for the damages/losses caused by the money laundering/fraud.

If any of the user's payments to MillionFormula is charged back for any fraudulent activity, MillionFormula reserves the right to withhold any payouts due to the user and to the extent of the law, collect any remaining payment balances.

Attempts to bypass any MillionFormula security mechanism either on the website or our systems or networks, circumvent these terms, unauthorized access of the accounts, unauthorized use of the accounts access information, hacking, wrongfully, deliberately or knowingly transferring funds from a third party account or funds not lawfully owned, acts of omission or any act that causes harm to MillionFormula and/or its users and/or any related third parties. All these actions will be held liable through legal actions by MillionFormula.

As you access and use our website, you agree to the following.

  1. Not to interfere with the proper functioning of the website or any of the services we provide.
  2. Not to overload our website or the servers used to host the website.
  3. Not to decompile, decipher, disassemble, attempt to derive or reverse engineer any code or algorithm or scripts on our websites or services. All the content, code, scripts, programs, databases, data and algorithms on MillionFormula are copyrighted and reserved.

MillionFormula will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of MillionFormula website or to your downloading of any material posted on our site, or on any website linked to it.

You can link to any page on MillionFormula provided that you do so in a manner that is legal, does not damage our reputation, does not take advantage of our reputation, does not imply/suggest that we endorse you or we are associated with you or we approve you when we don't. The website you link from must comply with all the terms stated on this page.

MillionFormula reserves the right to withdraw any linking permission without notice.

USER CONTENT ON MillionFormula

Users on MillionFormula can upload and provide data and content on MillionFormula in the form of graphics, images, photographs, audio, video, text and much more. Any user providing any such information agrees that he/she will not upload, download, distribute or facilitate distribution, submit, share, post, supply or allow any third party to do the same for content that is copyrighted, violates any law or contractual duty, unlawful, threatening, harassing, offensive, abusive, phonographic, contains or depicts nudity, contains or depicts sexual activities, vulgar, profane, obscene, tortious, defamatory, fraudulent, libelous, deceptive, invasion of other's privacy, inappropriate as determined by MillionFormula at our sole discretion, constitutes unauthorized or unsolicited advertising or is spam or junk emails, impinges any trademark trade secret copyright or any other rights, that is false or inaccurate or misleading, includes anyones financial information or indetification documents, impersonates any person or entity including any of MillionFormula representatives or employees, contains software viruses or any other computer codes, programs or files that are designed or intended to damage, disrupt, limit or interfere with the proper function of any software, hardware, or telecommunications equipment or to damage or obtain unauthorised access to any system, data, password or other information of MillionFormula or of any third party.

You warrant that any of your contribution complies with these terms and you indemnify MillionFormula from any breach of this warranty.

You grant MillionFormula worldwide, nonexclusive, perpetual, fully paid, loyalty-free, sublicensable and transferable license to use your content either on MillionFormula or elsewhere for purposes not limited to running our services, marketing our website/brand/business in any media format and any media channels including but not limited to third party websites and feeds. You grant MillionFormula users a non-exclusive, perpetual license to access your content through MillionFormula or through other channels.

You agree and warrant that you have the rights to grant such licenses without infringement or violation of any third party rights. MillionFormula reserves the right to disclose your identity to any third party who claims that any material or content that you have on MillionFormula impinges his/her intellectual property rights or violates his/her privacy.

The MillionFormula owner/s, partners and third parties are indemnified from all liabilities for any direct, indirect or consequential damages or losses in the form of income/revenue, business, profits, contracts, anticipated savings, data, goodwill, wasted time, incurred by anyone in connection to our website or inability to use our website or results of using our website or associated websites and any material/content/material associated with our website whether caused by tort, negligence, breach of contract or any other reason.

REFERRAL PROGRAM

MillionFormula has a referral program whereby we pay people to refer other people to register an account with our website. Any MillionFormula user with a general account can join our referral program and get his/her own referral id. Whenever anyone uses this referral ID to join MillionFormula, we will pay this user money for the new registration. The amount of money paid for each referral is indicated on the referral dashboard page. MillionFormula reserves the right to change the referral amount at any time and is not obligated to make prior notifications about the new changes.

In order for any new registration to qualify for the referral payment, it must meet the following conditions:

  1. Self referrals are prohibited. A user cannot refer him/herself. Any account created by the same person using his/her own referral code will not qualify for the referral and such earnings will be confiscated. Such accounts will be deleted. Such repeated activities might lead to temporary or permanent suspension of the user's account's ability to refer other people.
  2. Creation of fake accounts is prohibited. Registering many accounts that are not used by anyone just for the sake of increasing the referral earnings is against our terms and such accounts will not qualify for the referral program. Such accounts will be deleted. All the referral money earned from such referrals will be confiscated.
  3. Do not with the help of a group of other people create multiple accounts in order to make many referrals so as to earn more money. We only allow a single account per person when it involves referrals.
  4. The referred user should not already have a MillionFormula account.

Our systems collects the IPv4 and IPv6 addresses of the people registering so as to detect any referrer trying to cheat the system.

While the referral is registering we collect data like the device the person is using, the browser the person is using and more like the device systems such as the OS in order to be able to identify clearly that all your referrals were not registered by the same device/same person.

During referrals registrations, we collect data like the geolocation of the people registering through your referrals to make sure that there are not many accounts being registered by the same person or a small group of people registering multiple accounts.

During the referral registrations we also collect other data like the on-screen behavior of the users as they register on our website so as to make sure there are no BOTs creating multiple accounts which is all aimed at helping us detect any cheating that might be going on.

MillionFormula reserves the right to not grant or to remove any previously granted Referral earnings from the User's account should any of the MillionFormula terms and conditions not be met. MillionFormula reserves the right to suspend the User account or remove Referral earnings should abusive or fraudulent activity regarding the Referral Program be suspected at the discretion of MillionFormula.

MillionFormula reserves the right to modify or discontinue the referral program at any time either temporarily or permanently with or without prior notice. MillionFormula will not be liable to the users in the event of suspension, modification or discontinuation of the referral program. However non-fraudulent accrued referral earnings are not affected by suspension, modification or discontinuance of the referral program.

FREELANCE SERVICES

MillionFormula is a platform that offers services linking buyers to providers.

The buyers being the customers who seek either professional services like the freelance services we provide or other services like marketing. Hereafter, the buyers who seek freelance services from MillionFormula shall be referred to as EMPLOYERS.

The providers being the people/companies/businesses/institutions providing these services to the buyers. The providers may be providing either professional services like the freelance services or non-professional services. Hereafter, the providers who provide freelance services at MillionFormula shall be referred to as FREELANCERS.

Hereafter all services sought for/purchased by the employer or services provided by the freelancers shall be referred to as freelance services.

The freelance services can be provided in the form of offers whereby the freelancer posts at MillionFormula indicating the service he/she provides at the freelancer's specified price and the employers can purchase it. In this case the price for the service is determined by the freelancer as indicated on the offer.

The freelance services can also be provided in the form of a project/job posted at MillionFormula by the employer for which the freencera send their proposals. The employer can choose to award the job/project to one or more freelancers. In this case the employer determines the price of the project/job while posting it.

The freelance services can also be provided in the form of consultation whereby the employer posts a question or a questionnaire seeking information on a specific field and selects a specific freelancer or more than one freelancer to provide him/her with the information he/she is looking for.

MillionFormula does not control the prices of the freelance services. The pricing is wholly determined by the freelancers and the employers. MillionFormula allows freelancers to bargain with the employers in order to arrive at a price that both parties are comfortable with.

MillionFormula does not control the availability or provision of the freelance services as it is wholly dependent on the freelancers and the employers. What we provide is a platform where the process can take place. A platform where the freelancers can provide their services and the employers buy these services.

This is a contract between the freelancer and the employer. MillionFormula is not a part of the contract. The freelancer and the employer agree on everything that concerns the contract like pricing, duration, deliverables and requirements of the deliverables. In this contract, the freelancer and the employer agree on the terms and conditions of engagement. As such, the ownership of the deliverables and any intellectual property involved in the contract is passed to the employer on completion of the project. If the freelancer and employer want to have any different agreement concerning the ownership of the deliverables and intellectual properties, they should both discuss and agree about it on the workstream chat. By invoicing the work, receiving the payment and handing over the work/deliverables to the employer, the freelancer agrees to assign to the employer the following rights: Entire copyrights and all other rights in the form of ownership related to the deliverables, any database rights subsisting in the deliverables, any rights that might arise in the future in relation to the project. These agreements hold true both currently and in the future for any renewals, revivals, reversals and extensions.

In the case where the job/project is posted by the employer, for the service provision to begin, the employer has to award the job to that particular freelancer and pay the deposit. The process of awarding the job is simultaneous with Paying the deposit. MillionFormula insists that the freelancer should NOT start doing the job until the deposit is paid. This way we can be able to protect the freelancer in case the employer defaults on payment. In the case where the freelancer starts doing the job before the employer pays the deposit, then the employer refuses to pay the freelancer, MillionFormula will not be held liable for the payment of the freelancer. As per our terms and conditions, the contractual agreement between the freelancer and the employer begins when the job is awarded and deposit paid. Before that, MillionFormula will not be held liable to provide protection to the freelancer. However, in such a case, MillionFormula will try to mitigate the conflict by manually reviewing the work done by the freelancer and the amount of money asked for by the freelancer then try to see if the employer will pay. However, this is not legally binding for MillionFormula as it sorely depends on MillionFormula discretion to try and get the freelancer paid. For more information on how we resolve conflicts please refer to the conflict resolution section below.

Before the freelancer can start work, the employer is required to mention all the requirements of the job/project upfront. Such requirements must include but not limited to:

  1. Timeframes. This is the time that the employer expects the freelancer to complete the job, the time he/she expects given milestones to be completed and any other deliverables time specifications.
  2. Full description of the work. The employer must provide the freelancer with a complete description of the work including all the specifics and all that needs to be done including a breakdown of all expected deliverables.
  3. Any other expectations

This is important so as not to have any disagreements with the freelancer later on in the process. Also it helps the freelancer know how much time and money it will take to complete the job. In the case where the employer does not mention all the requirements before the start of the job, then later on the employer adds or keeps adding more requirements, the freelancer has the freedom to decline to do any further additional requirements that were not mentioned before the beginning of the w In such a case, MillionFormula protects the freelancer and if there is a conflict, the employer is supposed to proceed with the original agreed requirements or otherwise in the case of conflict resolution, MillionFormula conflict resolution team will try to get the freelancer paid by the employer. See our conflict resolution section below.

Throughout the work duration, the freelancer must provide regular updates regarding the work progress to the employer. The freelancer must respond to any messages by the employer within 1 working day through the workstream chat.

MillionFormula does not control the duration of the service provision. The time period for which the freelancer will be doing the job for the employer is determined by both the employer and the freelancer. The employer and the freelancer should come to an agreement on how much time the job/project will take. In the case where the freelancer is unable to meet the agreed deadline, it's upon the employer and freelancer to come to an agreement. If the employer refuses any further agreement and does not want to proceed any further with that freelancer, then the employer is free to do so. MillionFormula has no control over this process. In addition, if the employer decides not to pay the freelancer any further for the work due to the freelancer's failure to meet the deadline, then the employer is free to do so. If this becomes a conflict, then it is escalated to our conflict resolution team to resolve it. See our conflict resolution below. The freelancer must deliver the finished work within the agreed time or specified time in the case of an offer. The freelancer's profile ranking will be penalized for every work that is delivered late.

MillionFornula allows the employer to cancel the workstream if he/she is not happy with the work/progress/skills of the freelancer. MillionFormula does not provide the freelancer with the option to cancel the workstream. Hence We insist that the freelancer should apply only for jobs that they are capable of doing. In case the freelancer is not happy with the employer and wants to cancel the workstream, he/she can ask the employer to cancel the workstream from his/her end. If the employer declines to cancel the workstream, the freelancer can contact MillionFormula support to get the workstream canceled.

Before workstream cancellation by the employer, the freelancer must be provided with the opportunity to provide at least 2 further iterations of the work if the employer was not happy with the original work provided by the freelancer.

If the freelancer cannot deliver a milestone or the work in the agreed deadlines due to unavoidable circumstances, then he/she should notify the employer immediately and provide the employer with an alternative deadline when he/she will deliver the work. In case of failure to deliver the work/milestone and/or repeatedly changing deadlines, the employer might cancel the workstream and ask for a refund of all the money he/she has paid so far.

The employer can only be able to cancel the workstream before the work is marked as complete by means of invoice payment. After the employer pays the invoice for the work, he/she cannot be able to cancel anymore.

In the case of cancellation, whoever failed to meet the requirements of the agreement, will be penalized. This penalty includes but not limited to, financial charges for the losses incurred by the other party as per our conflict resolution terms and penalty to that user's profile ranking.

In the case of a workstream cancellation by the employer the freelancer should stop doing the work immediately. In this case the employer has the option to ask for a refund of the money already paid if the work for that payment was not delivered by the freelancer. This might include the deposit paid initially and amount for any other milestone paid. The freelancer must refund money for all the work that is not done or is not complete. However, the freelance is not obligated to refund the money for the work he/she has already done or believes is up to requirements.

In the case where the freelancer and the employer cannot agree on the correct refund amount, this will be escalated by our systems to our conflict resolution team. Our resolution team will resolve this conflict as per our conflict resolution terms below.

As per our terms, since we do not add the deposit money as well as the milestones money, it becomes a question of why are we asking the freelancer to refund the money after a cancellation. The way this works is that all the money the employer pays the freelancer before the final invoice, is deducted from the employer account and held in MillionFormula Escrow Account(An intermediary account). So when we ask the freelancer to refund the money what we mean is for the freelancer to allow MillionFormula to return the money in the MillionFormula Escrow account back to the Employer. Therefore the freelancer will not see any money reduce from his/her Freelancer account just like the freelancer will not receive the money that he/she chooses to refund.

If the freelancer refunds all the money asked for by the employer, the process will end here and the employer will be reimbursed his/her money. On the other hand, if the freelancer chooses not to pay some or all the money asked for by the employer, this will be classified as a conflict by our systems and will be escalated to our regulators team for manual conflict resolution as per our conflict resolution terms.

Just as 5 star reviews grow the freelancer's profile, workstreams cancellations do the opposite. The more cancellations the freelancer gets, the lower your profile ranks. Conflicts that get escalated to our regulators team affect the freelancer's profile more than just a workstream cancellation.

MillionFormula allows the freelancer to include up to 11 milestones in his/her proposal. MillionFormula advises the freelancer to include as many milestones as possible while writing his/her proposal. This is because with many milestones it is easy for both the employer and the freelancer to keep track of the work progress. Most importantly, it is easier for the freelancer to keep charging/making the employer pay for the job along the way. This way, the freelancer can ask the employer to pay every time the freelancer completes a certain milestone. Once that milestone is paid then the freelancer can proceed to the next milestone. This also helps MillionFormula protect the freelancer in a better way because our conflict resolution team can know how much work is done and how much is paid for. Moreover, it helps in the case where the employer might have the intentions of defaulting on the payment. This is because if the employer refuses to pay any milestone, the freelancer can stop doing the work. Moreover, if the employer has paid most of the milestones, if he/she defaults on the final payment, then the loss to the freelancer is not very large.

MillionFormula allows the freelancer as well as the employer to make changes to the proposal amounts for the Milestones as well as the Total price. The employer or the freelancer can ask for a price change from his or her workstream chatroom page. This price change request is immediately shown to the freelancer or employer depending on who requested it.

For this change to take effect, both the freelancer and the employer have to agree on the price. If the freelancer sends the price change and the employer rejects it then MillionFormula will not make the changes. Similarly, if the employer sends the price change and the freelancer declines the changes, then MillionFormula will not make the changes.

For these price changes, the new total price cannot be less than the proposal deposit amount.

Prices for milestones that have already been paid for cannot be changed. Similarly, if the total price/invoice has already been paid, the prices cannot be changed.

When making the invoice, if the freelancer and the employer have not made any price changes to the total, we will make an invoice for the original proposal total. If the freelancer and employer have made any price change agreements, then MillionFormula will make an invoice for the agreed total and not the original proposal total.

The freelancer should not ask for the full payment of the job before the job/work is done. The payment requests should be done through the milestones. After the work is done, the freelancer can ask for full payment by requesting the invoice payment. By sending the invoice, the freelancer indicates that he/she has completed the work as per the agreement by the employer. MillionFormula insists that the freelancer discuss with the employer before sending the invoice in order to make sure that the employer agrees with the freelancer that the work is finished. Once the invoice payment is requested, the employer should pay it within 7 days if he/she is content with the work. By paying the invoice, the employer indicates that the work is complete and this also marks the end of the workstream. If the employer is not happy with the work delivered, he/she should not pay the invoice immediately but first give the freelancer remarks on the changes he/she wants done on the work. In such a case the freelancer should repeat/make the changes and submit the work again. If the employer is not happy with the work he/she can pay the invoice. Otherwise the employer can give the freelancer feedback again stating the changes to be done and then the freelancer should fix the work. At this point, when the freelancer submits the work, if the employer is happy with the work he/she should pay the invoice.

The employer should pay the invoice within 7 working days after the freelancer raises it. If the employer leaves the invoice unattended for more than 7 days after the freelancer finishes the work, MillionFormula will release to the freelancer the funds held in the escrow account for that workstream. In such a case, the freelancer is required to try and reach the employer through the workstream chat so that the employer can pay the remaining invoice amount. If the employer does not communicate for more than 30 days, MillionFormula will contact the employer directly on behalf of the freelancer to see if he/she can show up to pay the invoice due. If the employer refuses to pay the invoice completely, MillionFormula will take further actions on the employer's account. Such actions include but not limited to account suspension until payment is completed, deducting the funds from the employer's account to pay the freelancer if the employer's account has money, charging the user's method of payment if it allows automatic payments, or otherwise if the account has no money, adding a negative funds number to the employer's account.

By payment of the invoice by the employer, the freelancer shall assume that the employer is happy with the work and will be considered at the end of work. The employer also agrees that he/she will not reverse the payment through the credit/debit card or paypal or bank.

After the work is done, the employer as well as the freelancer can review and rate each other. MillionFormula shows reviews and ratings publicly on the user's profile only after the two parties have rated/reviewed each other. If the employer or the freelancer refuses to rate/review the freelancer or employer respectively, MillionFormula will not show the rating/review on the freelancer or employer profile.

The reviews must be honest and relevant to the workstream just completed. Both users should not provide falsified reviews or coerce or manipulate the other party. The users should not use threats of negative review in order to get better review from the other party. Users should not offer incentives for better reviews from the other party. Any reviews that violate any of these terms will be subject to removal by MillionFormula regulators.

All communications between the freelancer and employer should happen through the MillionFormula workstream. This way MillionFormula can be able to protect the users in case of a dispute.

GUIDELINES AND POLICIES FOR POSTING JOBS/PROJECTS

MillionFormula requires that all the jobs/projects posted on our site to be and to meet certain quality standards.

While posting the job, make the description specific and complete. Outline everything that you need done for the project/job. Do not assume that the freelancer automatically knows what you want. Do not assume that because your project is similar to others, that the freelancer automatically knows what you want. Always provide a complete long descriptive and reliable information about what you want.

Include qualification requirements for your project/job. We allow up to a maximum of 5 qualification requirements. We recommend making use of all the 5 of them. The qualification requirements will help you get the best freelancer for your job. It will also help keep away all the freelancers that do not have the required skills.

Include questions for your job/projects. We allow up to 5 questions. We recommend including all the 5 questions. This will help you know which freelancer is best qualified for your project depending on the answers provided.

Include necessary skills or keywords. This not much for freelancer selection but for better appearance of your job on MillionFormula search as well as search engines like Google.

Quote a reasonable price for the project. Good prices attract good freelancers. If you are not aware of how much to quote for the project/job, check other similar projects on MillionFormula.

Every employer posting a job at MillionFormula must adhere to the following conditions:

  1. The job/project should not be asking for a job. The user should not post a job/project asking to be employed or given a job. The user should not post a job/project portraying his/her skills/qualifications/abilities in order to secure a job/employment from the website visitors.
  2. You must not ask for work samples from the freelancer as part of the proposal or award process. This is to protect our freelancers from exploitation.
  3. The freelance jobs/projects are a short term contract and employers should not tell or lie to the freelancer that he/she is providing a long term/permanent job, partnership, joint venture, employment, contract, association or franchise.
  4. Requests for products or business reviews. Requests for artificial social media likes/subscribers/ comments/views/followers is prohibited.
  5. The project/job listing must not contain urls to any other third party websites for the purposes of redirecting the freelancer to the third party website for full job description. Any and all job/project descriptions must be contained in the job/project listing description.
  6. Each and every job/project should be paid for either in the form of fixed price or hourly rate. Jobs/projects that do not pay or are free or are to be paid in commission or in profit or payment in exchange for skills or revenue sharing are not allowed.
  7. Fraudulent listings, illegal activities/services, spam or listings posted only for the purposes of promoting other businesses/companies/ websites/ social media accounts are prohibited.
  8. The project/job listing must not include the employer's personal contacts like the full name, email id, phone number or social media handles.
  9. Any listing that MillionFormula at our sole discretion believes violates our terms or is not up to standards.

We will but not limited to delete, remove, restrict, suspend, limit or close any project/job listing that violates any of these policies.

WORKSTREAM GUIDELINES AND POLICIES.

The employer or the freelancer must not use the workstream to advertise or promote any third party business.

The employer or the freelancer must not use the workstream to redirect the other user to another third party for the job or similar project.

Any and all communication between the employer and freelancer including any agreements must take place on MillionFormula through the workstream. Communication outside MillionFormula is not allowed.

The employer and the freelancer must not exchange nor attempt to exchange personal contacts through the workstream. This includes but not limited to email addresses, phone numbers and social media links/handles.

All payments must take place through the workstream. Any payments or attempted payments outside MillionFormula will lead to account suspension.

All the content posted or exchanged through the workstream must adhere with our terms and conditions. This means that offensive, racist, bigotry, homophobic, phonographic content is prohibited.

FUNDS

MillionFormula is not a bank and does not offer banking services. We only hold money to facilitate easy provision of services and payments to our users. When the employer pays the freelancer the deposit and the milestones before the completion of the project, we hold this money in our intermediary escrow account until the freelancer finishes the job. MillionFormula reserves the right to apply fees to any user and to deduct the due funds in the case of conflict resolution. Money held by MillionFormula is not insured nor covered by any financial services compensation scheme or government agency. Hence we insist that users should not hold or store money in MillionFormula for very long periods of time especially if the user has no intent of using the money for payments at MillionFormula. Such money kept at MillionFormula will not have the benefits like interest gained. MillionFormula will do our best to keep the funds in MillionFormula escrow and user accounts as safe as possible but we do not guarantee that the funds will be available in the event of unforeseen circumstances or events that are beyond our control.

If MillionFormula has to return money to the employer either because the employer has made such a request or the employer has made a payment cancellation through his/her debit/credit card, then MillionFormula reserves the right to recoup the funds from the freelancer's account if the account has funds or if there is no funds in the freelancer's account MillionFormula reserves the right to charge the money from the means of payment provided by the freelancer if any. If the freelancer has not provided any means of payment, MillionFormula will make a formal request to the freelancer to make the funds transfer to MillionFormula within 72 hours and the freelancer must make the payment.

To prevent funds from being held in escrow account indefinitely, MillionFormula will notify users if the money has stayed in the escrow account for more than a month without any activity like messages, milestone request/payment, invoice request, price change request/approval, cancellation or formal complaint by either user. Before the release of the funds, MillionFormula admin will contact both users through the chat and/or through their emails to notify them that the workstream has been open and unattended for more than a month. If the two parties choose to resume the work then okay. If the two parties do not want to resume the work then in such cases if the freelancer defaulted on the work, then the funds will be returned to the employer. Similarly, if the default was from the employer's end, then the funds will be released to the freelancer.

PAYMENTS

When the freelancer asks for the payment of the milestones and the employer pays, we deduct the money from the deposit that has already been paid. If the deposit has been depleted, we deduct the money from the employer's account. However we do not deposit the money to the freelancer's account immediately. We hold this money in MillionFormula Escrow account. This is because we pay the freelancer ALL the money after the job is done.

This is the same case for the Deposit. After the deposit is paid by the employer, it is not deposited to the freelancer's account immediately. We hold it until the job is done then we deposit the money to the freelancer's account subject to fraud regulations.

Hence the freelancer will not see any account balance changes before the job is done. Only after the job is done will the freelancer see the total deposited in his/her account deducted MillionFormula service fees.

The freelancer is then able withdraw this money through whichever means of payment is convenient for the freelancer and is supported by MillionFormula. MillionFormula takes the obligation to prevent fraud and money laundering very seriously before any withdrawal. MillionFormula reserves the right to delay or withhold money from any user suspected or involved with fraud or money laundering. Due to this, MillionFormula reserves the right to ask for additional documents from the freelancer or employer before release of funds to the freelancer/employer. Such documents include but not limited to the government issued ID, recent utility bills that contain the name and address of the user, a copy of front and back of the credit/debit card used with 6 middle card numbers and the security code at the back blanked, credit/debit card bank statement not older than 3 months for the card used, paypal statement showing the registered email address name and the relevant transaction.

All payments between employers and freelancers must be made through MillionFormula. Any attempts to bypass and pay for work outside MillionFormula will lead to actions not limited to immediate account suspension. Users are required to immediately report any other user asking them to take the payment outside MillionFormula. In such a case where the payment was done outside MillionFormula, the user who initiated the payment outside MillionFormula or if its a mutual decision by both the users, the user or the users will be liable for the losses incurred by MillionFormula in trying to recover the fees lost as a result of the process. MillionFormula reserves the right to sanction funds in the account of the freelancer as well as the employer to recover any fees lost in the case where the users choose to conduct the payment outside MillionFormula. Any user should report to MillionFormula immediately if the other user asks him/her to conduct the payment outside MillionFormula.

Once the final payment has been made by the employer, the employer has all the rights for the work provided.

The freelancer must not ask for payment of the money held in the escrow account before the work is completed. If the freelancer asks for the full payment before the work is done, the employer should report such freelancers immediately. Such freelancer accounts will be suspended either temporarily or permanently.

MODES OF PAYMENT.

There are 2 ways the employer can pay the freelancer.

  1. Fixed price. This is the agreed amount of money that the employer will pay the freelancer for the delivery of the work. This payment is for the work delivered.
  2. Hourly rate. This money paid for the time spent by the freelancer doing the work. It is not payment for the real or perceived quality or quantity of the work. The freelancer should provide the employer, on request, with the breakdown of how the time was spent and what was done at specific time.

For per hour payments, the employer must accept automatic billing of his credit/debit card or top up his/her account balance enough to sustain the per hour payments for the freelancer. If the employer chooses to topup the account, if the balance goes below the agreed amount per hour, the work will be stopped until the account is topped up again.

In order to qualify for the per hour payment method, the employer's account must have never been involved in payment default before. The number of hours billed by the freelancer must not exceed the agreed daily or weekly hours.

MillionFormula uses Paypal to process transfers of funds from employers and make payments to freelancers. MillionFormula may share only the necessary information like your name and email with the payment service provider so as to facilitate the transaction.

EMPLOYERS TERMS OF SERVICE

This section is for the providers at MillionFormula who seek freelance services. In other words these are the terms of service for the users that post jobs/projects at MillionFormula in order for the freelancers to do them.

Taking the payment outside MillionFormula is against our terms and conditions and will get the employer account banned indefinitely. During registration, the user submitted his/her personal identification details hence the user cannot create another account with a different email or name. We only approve one account per PASSPORT/NATIONAL ID. The employer should avoid activities like telling the Freelancer to receive the payment directly by bypassing MillionFormula.

In an event where the employer and the freelancer agree to bypass MillionFormula without MillionFormula knowledge, if the freelancer refuses to do the employers work or the work he/she does is not up to standards, we will not protect you against that. Once the employer takes a job outside MillionFormula, he/she loses the protection that we provide on our platform. In the case that happens and it comes to our attention, we will just terminate the employer's account. At such a point MillionFormula is not obligated to try to get the freelancer to do the job for the employer. In such a case MillionFormula is also not obligated to refund the employer or get the money back from the freelancer.

The employer should not post a job asking for a job. Any job that you post at MillionFormula should have one end goal and that is hiring the freelancer. Posting a job asking for a job for more than 3 times will have the employer's account's ability to post jobs suspended.

The employer should not pay the full amount for the project before the work is completed by the freelancer. Paying the full project amount before the work is completed by the freelancer reduces our ability to protect the employer in case the freelancer doesn't do the job. The final payment should be done as an invoice through our platform. This way it is easy for MillionFormula to protect the employer.

In many cases employers have a project but do not know where to start or how to go about it. In other cases, all you want is information on how to do something. In such a case, MillionFormula requires that the employer post a consultation instead. With a consultation, the employer will get access to some of the most skilled freelancers in that field so that he can provide the information required. In such a case the employer should not post a job/project but a consultation.we have the obligation to protect our freelancers from exploitation. Such an act of using freelancers to gain information then leave without hiring anyone is exploitation of our freelancers and we do not allow it. This is why we have this option for you to consult the world's top professionals in any field of work or profession. We manually review all the jobs posted on our platform and the hire rates of our employers as well as cancellations. For any job that an employer posts just to gather information from our freelancers and not hire them, the employer gets a strike on his/her account. Once these strikes exceed 3, we suspend that account's ability to post jobs anymore.

The employer must not be involved in such activities as scamming freelancers. The most common of this is posting a job with a phone number or email id, then telling the freelancers to contact you through the number for further information. When they contact you, you start telling them to pay you some money as security to get the job or some other similar activities. This is strictly against our terms and such users will be terminated indefinitely. The bearer of that PASSPORT/ID will be banned from our platform permanently.

Employers should avoid such activities as Spamming MillionFormula. Such accounts involved in spamming will be terminated. Activities like posting jobs at MillionFormula with just the aim of self-promotion are prohibited. Posting jobs without the intention of hiring the freelancers, just for the purposes of passing some information such as clicking on some links is also prohibited. Any job that is posted for spam purposes will be deleted and the employer who posted such a job will be suspended.

Employers should not be involved in Illegal activities like use of stolen Credit/Debit cards. You should always use a Debit/Credit card that you own every time you buy or pay for anything at MillionFormula. Use of stolen Credit/Debit cards may have legal repercussions and in such cases MillionFormula will cooperate with the authorities by means like providing any or all information we have concerning the user of the card. Employer accounts that have been associated with such cases will be terminated permanently.

User should always provide true and complete information about him/herself. Falsified information like your Identity or your country of residence is against our terms and conditions. MillionFormula, as well as our freelancers, require that you provide your correct location. Our systems constantly monitor your location as you use our platform to make sure that you are where you say you are. Use of VPN is allowed if and only if you are not using it to lie to us about your country/location. What this means is that if during registration you gave us your correct location(Hence freelancers see your correct location on your profile), there is no problem if you choose to use VPN as you access our platform. On the other hand, if you lied about your actual location during registration and you use VPN to keep your location hidden, we will penalize you for that.

Cunning activities like making the freelancer submit the work then decline to pay him/her or start asking for lower pay than what's agreed or saying the work is not done well all in an attempt to pay less or to not pay is prohibited. Employers with such practices will be suspended.

Address Freelancers with respect and dignity. Behavior towards freelancers motivated by racism, bigotry, hate, terrorism, extremism, religion or ethnicity, etc is prohibited here at MillionFormula. Any complaints about you by the freelancers will get your account suspended.

By posting any job/project/consultation at MillionFormula, you agree that you are capable of paying for the job/project/consultation. You also agree that you are not in breach of any laws, rules or regulations to any other person.

By using our services you agree to file all necessary legal documentation regarding your self employment as required by any government body in your jurisdiction. You also agree to file any and all tax returns for any and all financial gains you get from MillionFormula. This includes PAYE and any other forms of income tax returns.

By using our services you agree that you will not distribute, upload, download, share, post, submit nor allow any third party distribution of copyrighted, illegal content, child pornography and any content that impinges on patent, trademark, trade secret or violates the rights of any other person/entity or violates any laws or contractual duty.

FREELANCERS TERMS OF SERVICE

This section is for the users who provide freelance services at MillionFormula.

Taking the payment outside MillionFormula is prohibited and will get the freelancer banned indefinitely. The freelancer cannot create another account with a different email or name. We only approve one account per PASSPORT/NATIONAL ID. Freelancers should avoid activities like telling the employer to pay directly by bypassing MillionFormula.

In an event where you and the employer agree to bypass MillionFormula without our knowledge, if the employer refuses to pay you or takes advantage of you, we will not protect you against that. Once you take a job outside MillionFormula, you lose the protection that we provide you on our platform. In the case that happens and it comes to our attention, we will just terminate your account. MillionFormula is not obligated to get the freelancer payment in such a case.

Impersonation and/or Selling of MillionFormula Freelancer accounts is prohibited. The employers expect that the person shown on the profile is the one who does the job. In the event that we determine the person operating the account is not the one who was verified on the PASSPORT/NATIONAL ID, we will terminate that account. We will also ban that ID/PASSPORT holder for indefinitely. When you make a payment request, from time to time we require that you re-submit your identity documents/photo/residence proof before we make the payment to you. This is just to make sure that the person whom we verified the account for is the one running it.

Falsified information like your Identity or your country of residence is against our terms and conditions. Our systems constantly monitor your location as you use our platform to make sure that you are where you say you are. Use of VPN is NOT is allowed if and only if you are not using it to lie to us about your country. What this means is that if during registration you gave us your correct location(Hence employers see your correct location on your profile), there is no problem if you choose to use VPN as you access our platform. However, if you lied about your actual location during registration and you use VPN to keep your location hidden, we will penalize you for that.

The reviews you get after the employers rate you for your work, greatly affect your account growth. Hence do not take jobs that you cannot do. Workstream cancellations by the employer also adversely affect your account. Only take jobs that you are expert at and you are sure of a 4 or 5 star review from the employer.

Cunning activities like making the employer pay the money before you submit the work then it turns out the work is not done or is not done properly will get your account terminated. Keep in mind that MillionFormula releases your payment after the employer approves it.

Address Employers with respect and dignity. Behavior towards the employer motivated by racism, bigotry, hate, terrorism, extremism, religion or ethnicity, etc is prohibited here at MillionFormula. Any complaints about you by the employers will get your account suspended.

Illegal activities like Scamming and spamming are prohibited. Such accounts will be terminated.

Once the work is awarded to the freelancer by the employer, the freelancer must respond within one working day confirming that he/she has started the work.

For the entire duration of the work, the freelancer should provide regular updates to the employer concerning the work progress. The freelancer should also respond to employers messages within one working day.

The freelancer should deliver the work as per the agreed time of completion. Late-delivery or failure to deliver will lead freelancer to be penalized not limited to amount of money to be paid for the work and the profile ranking.

By sending a proposal for any job/project/consultation, you declare that you are fully capable of doing the job/project and you have all the skills/expertise necessary to execute the duties. You also agree that you are not in breach of any laws, rules or regulations to any other person.

By using our services you agree to file all necessary legal documentation regarding your self employment as required by any government body in your jurisdiction. You also agree to file any and all tax returns for any and all financial gains you get from MillionFormula. This includes PAYE and any other forms of income tax returns.

By using our services you agree that you will not distribute, upload, download, share, post, submit nor allow any third party distribution of copyrighted, illegal content, child pornography and any content that impinges on patent, trademark, trade secret or violates the rights of any other person/entity or violates any laws or contractual duty.

QUALITY OF WORK.

Every freelancer must strive to provide work of the best quality at all times. For every job, the employer rates and reviews the freelancer. These reviews determine the continuity and success of the freelancer. In addition to that, if any employer makes a formal complaint about the work delivered by the freelancer MillionFormula might but not limited to limiting the account of the freelancer.

All the work that the freelancer submits must be:

  1. Free of errors.
  2. Is complete as agreed in the contract or as stated on the offer page.
  3. It fully addresses the requirements of the deliverables as stated in the requirements by the employer.
  4. If it is an offer, it should meet the quality standards indicated by the offer and maintain the standards that are expected of it.

COMMUNICATION AND NOTIFICATIONS

MillionFormula contacts our users through emails sent to the email ids that the user provides us through various forms. We communicate important information, updates, personalized messages and notifications through the emails. By signing up at MillionFormula or filling up various forms that ask for mail ids, the user consents to receive emails from MillionFormula. The user has the option to unsubscribe from any email/mailing list that he/she doesn't want to receive anymore.

MillionFormula USER ACCOUNTS. In order to fully access MillionFormula, the user is required to register an account by providing accurate and complete information. There are 3 types of user accounts one can have: The general account, employer account and the freelancer account. In order to create an employer or freelancer account, one has to create the general account first. The user is free to have either a general account alone, or a general account plus a freelancer account or a general account plus an employer account or all 3 accounts. Each person is allowed a maximum of one freelancer account and/or one employer account. Each general account can be associated with only one employer and/or one freelancer account. Attempts to create multiple freelancer or employer accounts are not allowed. Such multiple accounts belonging to one person will be deleted. Users can have more than one general account.

The general account only requires email verification to become active. The employer and freelancer accounts require legal identity verification before the user can have full access to the account. This verification requires the user to submit his/her legal National/State Id or Passport or official Taxation Id card issued by the government. The verification process is done manually by our verification team. All user accounts are personal accounts. However, for the employer and freelancer accounts, the user can trade as a sole trader, business/company or any other legal entity. In the case where the user creates an account to trade as a business/legal entity, MillionFormula might ask the user to provide the legal documentation of the business for verification purposes. The information provided by the user for a public profile must comply with the user profiles policies outlined below. MillionFormula reserves the right not limited to restrict access, suspend accounts, unverify account, temporarily or permanently block the user's account access, stop any projects the user has in progress, warn other users if the user violates our terms, his/her information is unverifiable, MillionFormula believes the user's actions affects other users and if we take an admin action on the user's account.

By registering and using MillionFormula services, you agree that you are not economically barred or limited by any sanctions. Anyone under any economic sanctions is not allowed to use MillionFormula services.

The user is responsible for anything that happens to his/her account. Not unless if it is beyond his/her control such as account hacked or password stolen yet the user observed all the precautions to keep the password safe.

USER PROFILE POLICIES

The user profile is the public page that can be seen by anyone with the URL over the internet. MillionFormula urges the users to provide as much information as they can for the public profile as this will improve their public appeal.

The following are the policies to be followed for user profiles.

  1. The information provided for the profile should be true, correct and complete. Such information include but not limited to personal identity details and location. The country of residence of the user must be correct. If we determine that the user lied about his/her country of residence, we will change the user's country on the profile to indicate the true country of the user's residence. The same goes for other profile information like the name.
  2. The profile should contain a profile photo. For freelancers it must be a photo of the person or people who run the freelancer account. Logos are not allowed for freelancers. For the employers, the profile photo can be a photo of the person or people who run the account or it can be a logo of the business/legal entity that runs the account. Where the photo of the person is required, it must contain the full face of the person or persons who run the account.
  3. Any profile whose aim is to advertise or promote anything else other than the user's skills and professionalism is prohibited. Such prohibited advertising include other websites, businesses, companies, universities, schools, organizations, products, services, social media accounts and much more. Such profiles will be deleted.
  4. Any profile promoting adult rated content such as pornography and any other illegal content like drugs, crime, violence, child pornography, offensive/abusive/ defamatory/infringing content, and much more illegal content will be deleted.
  5. Including bank accounts or other methods of payment on your profile is against our terms. Such profiles will be deleted.
  6. Promotion/advertising or sale of products and services other than the services provided and delivered through and at MillionFormula is prohibited. Such profiles will be deleted.
  7. Attempts to include URLs and/or contacts such as phone numbers, email IDs and social media handles/links/usernames is prohibited. Such profiles will be deleted.

DISPUTE RESOLUTION TERMS

At MillionFormula, a dispute occurs when the employer cancels a workstream, then asks the freelancer for a partial or full refund of the amount of money paid for the work, then the freelancer refuses to pay the full amount of refund asked for by the employer. MillionFormula strongly encourages users to solve any dispute among themselves. Otherwise, MillionFormula charges a fee of 5% of the total price for every dispute that requires manual intervention. This is a service fee by our dispute resolution team.

Both users agree and accept that the resolution payments/refunds/decision made by MillionFormula for the purposes of dispute resolution are made in good faith and in all fairness and equality. Both users agree that they will not take any action against the decision whether legally or otherwise. The users agree and accept that he/she has no right to and will not seek any legal action against MillionFormula for the failures or alleged actions of the freelancer or employer.

During workstream cancellation, the employer is free to ask the freelancer to pay whatever percentage of the money already paid. In most cases this is the deposit and any or all milestones already paid for by the employer. Immediately after the employer asks for the refund, the freelancer is notified and has the option to refund the full amount or a part of it. If the freelancer refunds all the amount asked for by the employer, there is no dispute. However if the freelancer does not refund some or all of the requested refund by the employer, it becomes a conflict. This means that the case will be escalated to our dispute resolution team. The job of our dispute resolution team is to determine who deserves to get the disputed money and who does not. This refund of money through dispute resolution is for workstreams whose invoice has not been paid yet. By our terms and conditions, by paying the invoice, the employer confirms that the job was done as required and the employer agrees that he/she is not going to ask for a refund and is not going to cancel the payment through the bank or debit/credit card or paypal or whichever means of payment was used.

The following are the guidelines that we use to determine who gets the money and who doesn't:

  1. If the freelancer did not do the job at all, the employer will be refunded the full amount held in the escrow account.
  2. If the freelancer completed the job and it meets the quality standards required, the freelancer will be given the full amount held in the escrow account.
  3. If the freelancer only completed a part of the job, then we will pay the freelancer the amount of money due for the work done and any remaining money in the escrow account will be returned to the employer.
  4. If the freelancer takes more than 36 hours after employer pays deposit without response indicating he/she has started the work, then the employer is entitled to ask for workstream cancellation and a full refund of any money held in the escrow account.
  5. If the freelancer fails to deliver the work within the speculated timescales then the employer is entitled upon request to get a refund of the incomplete milestones or the entire job depending on the amount of work completed and the quality of the work.
  6. For the per hour mode of payment projects/jobs, the freelancer will be paid for the number of hours worked if the work is up to standards and any remaining escrow money will be returned to the employer. If no hours were spent doing the work by the freelancer, then all the money will be returned to the employer.
  7. In the case where the freelancer has done the work and he/she believes that the work is of quality standards, but the employer declines to accept the work delivered for the reason that the work is not up to the quality standards required, it will be up to the MillionFormula dispute resolution team to go through the work and decide if the work is up to standards and determine who gets the disputed money after reviewing the complaints from both parties.
  8. In the case where the freelancer feels like the work is more than expected or initially estimated and he/she wants an increase of the payment but the employer declines, such an issue will be resolved by our dispute resolution team. First as stated in our terms and conditions above, both the employer and freelancer must agree on everything concerning the work before starting. Hence in such a case MillionFormula does not have the authority to force the employer to increase payment. All we can do is talk with the employer and see if he/she can agree to increase the price. If the employer declines, then we can pursue other solutions like workstream cancellations if both parties can't agree on anything and the only solution is cancellation. Then we can determine who gets a refund as per our terms.

In the case where the employer feels like the work is less than expected or initially estimated and he/she wants a decrease of the payment but the freelancer declines, such an issue will be resolved by our dispute resolution team. First as stated in our terms and conditions above, both the employer and freelancer must agree on everything concerning the work before starting. Hence in such a case MillionFormula does not have the authority to force the freelancer to decrease the price. All we can do is talk with the freelancer and see if he/she can agree to decrease the price. If the freelancer declines, then we can pursue other solutions like workstream cancellations if both parties can't agree on anything and the only solution is cancellation. Then we can determine who gets a refund as per our terms.

Any refund request by the employer, that does not involve workstream cancellation or any problem with the workstream, will be subject to review and consideration by MillionFormula. If we determine that the reason for the refund is in order for the employer or freelancer to avoid fulfilling his/her obligations, then MillionFormula will not be obliged to make the refund.

All users are discouraged from cancellations and refunds as the cancellations affect the user's profile ranking as mentioned in our terms above. Multiple cancellations and refunds attributed to the same user will lead to temporary or permanent restrictions/limitations/suspension of the user's account depending on the severity.

MillionFormula SERVICE FEES

EMPLOYER SERVICE FEES

MillionFormula does not charge the employers any fees to post jobs at MillionFormula. It is free to post any job/project or consultation at MillionFormula. All the employer needs is to pay for the transaction fee by the payment service provider. Such transaction fees by the payment service provider are shown on the payment page and a url to the service provider is included on the payment page.

FREELANCER SERVICE FEES

MillionFormula charges a reasonably small service fee to the freelancer for each and every job that the freelancer completes successfully. This fee is deducted from the job payment after the employer pays the invoice just before the money is released from the escrow account to the freelancer's account.

Our freelancers services fees are:

  • 20% for jobs paying less than or equal to US$ 500.
  • 15% for jobs paying US$ 501 to US$ 1000.
  • 10% for jobs paying US$ 1001 to US$ 5000.
  • 7.5% for jobs paying 5001 to 10000.
  • 5% for jobs paying 10001 and above.

MillionFormula may make changes to these fees at any time and any transactions that happen after the changes will be subject to the new fees.

NDA FEE

NDA (Nondisclosure Agreement) is a service that MillionFormula provides for the employer and freelancer to use in relation to the project at a non-refundable fee of USD10.

It should be noted that MillionFormula does not enforce nor administer the NDA on behalf of any user. The NDA is an agreement between the employer and freelancer that either party will not disclose or share the content of the project with any third party without the permission from the other user. MillionFormula is not a part of this agreement.

It should be noted that MillionFormula is not responsible nor liable for the compliance with the NDA by either freelancer or employer. Hence, MillionFormula is not responsible if there is any breach of the NDA by either party.

MillionFormula is also not responsible for the safekeeping or storage of the signed NDA. We are also not responsible nor liable for any losses of the signed NDA between the two parties.

PAID TO CLICK TERMS

MillionFormula is a company dedicated to providing promotional services and advertisement for social media users, we are working closely with the various social media service providers. However we are not affiliated with YouTube, Facebook, twitter, Instagram, vimeo, vine, spotify, dailymotion, google+, pinterest, LinkedIn nor soundcloud or any of the social media service providers.

MillionFormula does not use fake profile/accounts to produce results neither do we use bots/computer generated results, therefore in case of the closure/disable/ suspension or deletion of the clients account /channel by the client's service provider, MillionFormula will not be held liable nor responsible. In addition, MillionFormula will not be held liable/responsible for any disciplinary action taken by the client's service provider in any way whatsoever.

By using our website and its services you agree that you will indemnify and hold all the stakeholders of MillionFormula including its owner/s, directors, employees, members and agents harmless from all liabilities and damages including but not limited to attorney fees and other legal expenses.

You are in no way entitled to any partnership, franchise, employment relationship, agency or joint venture with MillionFormula through this agreement. Users do not have any authority to represent MillionFormula at any level, accept or make any offers on behalf of MillionFormula at any point in time.

The user is completely responsible for meeting their own tax requirements on the revenue generated from or through MillionFormula.

By making use of our advertising program and our website you warrant that you validly execute this agreement and comply with all binding obligations that are enforceable against you as per the terms and conditions and as per the legal system pertaining to your jurisdiction.

Users shall not undermine the integrity of our website, services or company by promoting referral links through spamming or unsolicited emails or through the use of any other electronic means. Spamming will result in immediate termination of the account and your membership with the company shall be considered void.

MillionFormula shall not be held liable for any and all loss of profits, business opportunities either direct or indirect, damages that are both incidental and or consequential pertaining to this agreement and or through your use of the website. At any point in time, the aggregate liability shall not exceed the total fee paid or payable to the user pertaining to this agreement.

MillionFormula does not make any direct or indirect warranties or representations that the operation of our website will be absolutely error free or uninterrupted. The errors that may be present in this website or the interruptions that may occur do not make the company liable in any way for the damages or the losses suffered by the user.

MillionFormula prohibits the use of bots or software tools that will undermine the integrity of the services of the website.

MillionFormula is free to change its fees, increase or decrease the fees at its sole discretion for purchases and advertisements.

MillionFormula at its sole discretion can block any IP, user or member who tries to breach our server through the use of any malpractice including the use of anonymizing VPN or other proxy servers.

MillionFormula prohibits websites that contain malicious scripts or codes, excessive pop-ups, spread viruses and Trojans.

After the approval of the URL, the websites shall not be changed materially to the extent the website after the change is in violation of the Terms and Conditions of MillionFormula.

MillionFormula does not use, own nor employ any computer programs or BOTs to generate the social media marketing services like views, followers, subscribers, likes and comments that we provide. Similarly, MillionFormula does not use, own nor employ any click firm to generate these services. All the social media engagement services that we provide are activities of real human beings who perform them at their own discretion. MillionFormula reserves the right to use incentives like money, to incentivize the people to perform the aforementioned tasks. These services are for credibility purposes.

You should not use inactive or fake social media accounts. Use of inactive social media accounts is prohibited and as soon as we determine that you are using inactive social media accounts we will disqualify you and may not be allowed to participate in the program anymore in the future.

You should not use BOTs or any kind of computer programmed service/ software to perform those various tasks on our website. That is highly prohibited and if in any case MillionFormula determines you have been involved in such an activity MillionFormula has the right to seek disciplinary action against you including but not limited to legal actions.

Any user is allowed to watch or play any youtube video only once a day. Playing the same video multiple times or in a loop or opening multiple tabs/windows for the same video is a violation our our terms of service. This violation will lead to forfeiture of the user's earnings and termination of the user's account.

You should not involve yourself in cheating activities like subscribing to a channel then unsubscribing in order to subscribe again and earn money a second time for the same channel, this similarly applies for all the other services. Our systems are very efficient in identifying such cheating activities and will get you disqualified from the program and get prohibited from ever participating again in the future.

Comments that express ill-motivated opinions are not welcome. You should not give comments that are motivated by ill motives like racism, bigotry, hate, terrorism, extremism, religious bias or ethnicity.

You should not reverse any action that you take at MillionFormula. After you have subscribed/followed/ liked/commented on a certain individuals social media channel/account/ profile/video on this website do not visit your account and unsubscribe/unfollow/unlike or delete the comment. In other words do not privately visit your social media account/profile and undo the actions you have done on MillionFormula.

In the case of comments, do not post short irrelevant comments. One word or two words short comments are not accepted. The comments that you write for the videos should be long enough to express your thoughts and opinion on the video. As you write the comments, our systems will guide you on the length of comments required. Usually not less than 200 characters.

For social media mentions, whether for MillionFormula or for other businesses, the user must not use fake traffic sellers to inflate the numbers in order to attain the required numbers easily/quickly. Before the payment for any mention can be processed, we go through the mention statistics like viewer engagement, retention time, user interaction with the mention and other factors like the user's profile/channel followers/subscribers count and so many more considerations. All this is to make sure that the numbers that the user claims to have achieved are real and not inflated via any fake means like bought traffic. Any mentions' views/reads that we determine are not organic or are obtained by means like buying of fake traffic, will not be paid for.

The video or audio or article for the mention that you post for MillionFormula or other businesses has to meet certain standards in order to qualify for payment. It has to be long enough, it has to be talking about MillionFormula or the business that you are promoting, it has to have a url link to MillionFormula or the business that you are promoting, it must be conveying a positive information about MillionFormula or the business you are promoting.

MillionFormula has the right to refuse to offer service to a specific client without offering a reason.

CONFIDENTIALITY

MillionFormula is devoted to maintaining your privacy and confidentiality of your content when you buy our services. When you buy our services you grant MillionFormula the authority/permission to display and distribute the whole or part of the submitted content.

MONEYBACK GUARANTEE

This is for those buying our services at MillionFormula.

MillionFormula will refund the customers money if the customers needs are not met. However the customer should not be the cause of the failure nor should the customers play any part in the failure/to cause the failure: contrary to this the customer will not be refunded. However, MillionFormula reserves the right to meet customer's satisfaction.

SERVICE TERMINATION/ACCOUNT CLOSURE

If MillionFormula determines that any client is misusing our services, not for the intended purpose, we have the right to terminate the service we are offering to him or her at that moment with no refund, not unless MillionFormula sees it fit to return the money depending on the circumstances.

MillionFormula has the authority to suspended/close down/terminate any clients account if MillionFormula determines that the client is involved in any activity that violates our terms and conditions of services with no prior notification and MillionFormula has the right to withhold his/her earnings depending on the kind of violation or damages caused by the client. Our terms of service for a certain product begins when MillionFormula accepts your order and ends when terminated by either party.

DEFINITIONS

In our terms and conditions,

  1. "User" is any person who is registered and uses MillionFormula services.
  2. "Employer" is the user who is buying freelance services from freelancers at MillionFormula.
  3. "Freelancer" is the MillionFormula user who provides freelance services at MillionFormula.
  4. "Awarding a job" means the acceptance of a freelancer's proposal by the employer hence assigning the job to that freelancer in order to complete it. It marks the commencement of an agreement between an employer and a freelancer which indicates the start of the work.
  5. "Dispute" means the disagreement between the freelancer and employer on the amount of money to refund and to keep when it gets escalated to our dispute resolution team.
  6. "Earnings" is the money that a MillionFormula user earns at MillionFormula by performing various tasks or jobs or providing various services.
  7. "Escrow account" is the intermediary virtual account where the money is held from the start of the workstream until the release in accordance with our terms and conditions.
  8. "Invoice" means the bill for a project/work that has been completed by the freelancer raised in the workstream chat for the employer to pay.
  9. "Workstream" is where the buyer and freelancer conduct all the businesses related to the project/job. This is where all the communications between the two parties take place in private.
  10. "Proposal" is the offer made by a freelancer to the employer with the promise to perform a task or job or complete a given project or work for the employer and contains a fee for the service to be offered.
  11. "Job/project" is the piece of work that the freelancer and employer agree upon on MillionFormula.
